POSITION PROFILE. Anixter is seeking a mid-level commercial lawyer with 6-10 years of experience to join its legal team.  The successful candidate will provide commercial legal support and advise on legal issues associated with complex product and services commercial transactions with customers, vendors, distributors and other third parties, acting as a valued business partner and working closely with Anixter legal team colleagues to provide seamless legal support to clients.  In addition to strong legal and analytical skills as a commercial attorney, the right candidate will possess excellent communication and interpersonal skills and an ability to interface with a broad range of senior business managers, executives, and other colleagues and professionals.  The successful candidate will become a key member of Anixter’s global Legal Department consisting of 12 attorneys.  The position will report to Anixter’s Assistant General Counsel and Regional Compliance Officer.  The position may be based at either Anixter’s headquarters in Glenview, IL, or Anixter’s office in Miami, FL.

MAIN RESPONSIBILITIES/KEY GOALS. The successful candidate will have approximately 6-10 years of substantial hands-on commercial legal experience, combined experience in a major law firm and/or in-house legal department, with a focus on complex product and services commercial contracts or transactions.  Responsibilities include, without limitation:

·         Commercial

o   Handle the day-to-day review, structure, draft, negotiation and implementation of complex commercial agreements to achieve acceptable risk levels.  Such agreement types include, but are not limited to, simple to complex product and/or service purchase contracts or transactions, distributor, MSA/MPA, reseller, teaming, subcontractor, transportation, LOIs/MOUs, NDAs, RFQs and RFPs containing terms and conditions, credit terms and conditions, and other procurement and purchasing agreements. 

o   Provide practical legal counseling and guidance on a broad range of commercial matters to internal business customers.

o   Analyze transactions and legal principles into practical, innovative, creative and workable solutions. 

o   Summarize and prepare risk summaries for review and approval by executive management.

o   Provide guidance and leadership to the North American Contract Management Team on the review, negotiation and drafting of commercial agreements and transactions.

o   Foster strong relationships with the various business segments and functional departments, and develop a deep understanding of their strategies and objectives to better serve their needs.

o   Ensure that company form agreements and templates, as well as contract negotiation playbooks, and legal and business processes are up to date with respect to applicable laws/regulations and best practices.

·         Claims counseling

o   Manage commercial claims with in-house and outside counsel while minimizing cost and risk.

o   Provide counseling to the business on commercial claims.

·         Education/Training

o   Provide and develop preventative education and training in the areas of commercial law, Anixter’s contract review processes and risk management.

·         Law Department Projects/Initiatives

o   Collaborate with attorneys and paralegals, where applicable, on a variety of projects.

o   As part of the larger legal team, assist with the creation, implementation and enhancement of processes, policies and tools that are in place and creating new ones where needed.

o   Providing additional support to the Anixter Legal team as needed.

 

KEY QUALIFICATIONS. This role requires an experienced corporate attorney with sound legal and business judgment and the following qualifications:

•       JD degree from a reputable, accredited U.S. law school, and active U.S. Bar membership required.

•       6-10 years of in-depth commercial legal experience, combined experience in a major law firm and/or in-house legal department, with a focus on complex product and services commercial contracts or transactions.

•       Extensive drafting and negotiating skills and experience, and deep knowledge and understanding of U.S. commercial law. Experience and knowledge of Canadian commercial law is a plus.  High-level writing and drafting skills are critical.

•       Providing practical advice and solutions in a fluid environment.

•       Pragmatic approach to problem solving and strong flexibility to adjust to changing requirements, schedules and priorities.

•       Demonstrated ability to apply innovative problem-solving skills and provide rapid, practical, business-focused legal/commercial contract advice to maximize revenue and minimize risk and foster long-term client relationships.

•       A clear business focused outlook, with a drive to develop an understanding of the business and to build close relationships with business colleagues.

•       The ability to socialize ideas, make recommendations and gather team consensus to move forward, while maintaining high levels of integrity and discretion.

•       Client-service oriented with the ability to create effective working relationships cross-functionally, including interfacing confidently with internal and external stakeholders, on legal and business matters.

•       Ability to manage multiple tasks and work assignments and to produce high quality work under deadline pressures in a fast-paced environment.

•       Process-oriented team player with demonstrated ability to work under pressure manages multiple projects simultaneously with the ability to focus on critical priorities with minimum supervision. Project management experience is plus.

•       Possess superior English oral and written communication skills. Fluency in Spanish is a plus.

•       Adhere to the highest level of professional and ethical behavior.

•       Enjoys working in an international and multicultural environment.

•       Occasional travel, as necessary.
